End User License Agreement

This is the agreement between you and the maker of TransistorKit ("we", "us") about your use of the TransistorKit Mac application, the licensing relay it talks to, and the marketing site at transistorkit.com (together, the "Service"). Using TransistorKit means you accept this agreement.

1. License grant

If your subscription is active, we grant you a personal, non-transferable, non-exclusive license to install and use TransistorKit on up to three (3) Macs concurrently per subscription. Your subscription gates this license; if it lapses, the license suspends until you reactivate.

Gift / perpetual licenses (e.g. for early adopters or evaluators) follow the same terms except they don't expire.

2. What you're allowed to do

Build, ship, and sell apps you make with TransistorKit. Your code is your code.
Modify and adapt the generated output any way you like.
Activate on a different Mac by signing out of one of your existing devices via Settings → Account → Sign out.

3. What you can't do

Sub-license, rent, share, or resell your TransistorKit license.
Reverse-engineer, decompile, or disassemble the app, except to the extent that local law permits.
Use TransistorKit to build a product that competes directly with TransistorKit itself.
Use TransistorKit to violate someone else's rights — copyright, trademark, privacy, or otherwise.
Use TransistorKit to generate content that violates the terms of the underlying AI providers (Claude, OpenAI, Grok, ElevenLabs, etc.). Their policies bind your usage of their services through TransistorKit.

4. AI output

TransistorKit doesn't make AI — it orchestrates third-party AI providers using your API keys. Whatever those providers' terms say about who owns the output applies. Generally that means you own what you generate (subject to copyright law on whatever the model was trained on, which is an open question that depends on jurisdiction).

AI makes mistakes. Generated code may have bugs, security holes, or hallucinated APIs. Generated images, music, voices, and dialog may infringe on someone's rights even if they look original. You're responsible for reviewing everything before you ship it.

5. Your data + accounts

Your projects, source code, agent transcripts, and assets live on your Mac. We don't host them. If your Mac dies and you don't have backups, that data is gone. Use Time Machine, iCloud Drive, or Git.

If you delete your account, we remove your license + subscription metadata. Your local project data is unaffected — that's yours to keep or delete.

6. Bring your own keys, bring your own costs

TransistorKit uses your API keys for Claude, Codex, Grok, OpenAI, ElevenLabs, etc. You pay those providers directly for usage. A multi-agent harness can burn through API credits quickly — especially on long planning runs or fleet dispatches. You accept any costs incurred against your keys.

Flat-rate plans (Claude Pro, Claude Max, Codex flat-rate, Apple Intelligence on-device) sidestep this entirely. Per-API-call billing (raw OpenAI keys, Grok credits, ElevenLabs paid plans, etc.) does not.

7. Production safety

TransistorKit can talk to cloud servers if you configure it to. Never give an agent access to a production server. Agents make mistakes; they can drop tables, rm-rf the wrong directory, or push broken code. Recommended pattern: spin up a fresh ("greenfield") server, install your SSH keys on it, and let the agent work there. Make sure anything that already exists on that server is backed up before you point the agent at it.

8. Service availability

The licensing relay (app.transistorkit.com) needs to be reachable for the Mac app to activate a new device or refresh an existing token. We aim for high uptime but can't guarantee it. The app has a 7-day offline grace window — your already-activated devices keep working even if the relay's down.

Third-party AI providers can go down, change their pricing, or change their terms at any time. We don't control that. If a provider becomes unavailable, the matching feature is degraded until they come back.

9. Refunds + cancellation

Cancel any time from Settings → Account → Manage Subscription. The subscription stays active through the end of the current billing period, then stops renewing. We offer a 14-day no-questions refund window from the date of purchase — email collector@transistorkit.com.

10. Pricing changes

If we change the subscription price, existing subscribers stay on whatever price they originally signed up at — Stripe handles this automatically. New signups pay the then-current price. We won't surprise-bill you at a higher price without notice.

11. Termination

We can suspend or terminate your license if you violate this agreement — typically with a warning + a chance to fix the issue. You can stop using TransistorKit any time; cancel via the Customer Portal.

12. Warranty disclaimer

TransistorKit is provided "AS IS" without warranty of any kind. We don't promise it's bug-free, that it'll meet your needs, that the AI output will be correct or non-infringing, or that the licensing relay will be reachable at any given moment. We make a good-faith effort, but you use it at your own risk.

13. Liability cap

To the maximum extent allowed by law, our total liability to you for any claim related to TransistorKit is capped at what you paid us in the previous twelve (12) months. We're not liable for indirect / consequential / lost-profits damages.

14. Governing law

This agreement is governed by the laws of the State of Washington, United States. Disputes go to the state or federal courts in King County, Washington.

15. Changes

If we change this agreement materially, we'll update the date at the top and post a note. Continuing to use TransistorKit after a change means you accept the updated terms.
